These Terms of Service (the “Terms”) govern your access to and use of https://movush.com/ (the “Site”), including its product catalogue, downloadable resources, enquiry forms, account or partner areas, and any other online service that links to these Terms (together, the “Website Services”).
The Site is operated by Foshan Movush Furniture Co.,Ltd, trading under the MOVUSH brand (“Movush,” “we,” “us,” or “our”), a company established in the People’s Republic of China.
These Terms concern use of the Website Services. A quotation, pro forma invoice, order confirmation, sales agreement, distribution agreement, or other separately agreed commercial document may contain additional or different terms for a product purchase or project. If a transaction document expressly conflicts with these Terms, the transaction document controls that transaction.
Please read these Terms carefully. By accessing or using the Website Services after these Terms have been made available to you, you agree to be bound by them to the extent permitted by applicable law. If you do not agree, do not use the Website Services. Nothing in these Terms limits any right or remedy that cannot lawfully be excluded or restricted.

Eligibility and geographic scope
The Website Services are intended primarily for business customers, dealers, distributors, architects, designers, fit-out teams, procurement teams, and other professional project participants. They may also be viewed by individual customers.
You may submit an enquiry, create or use an account, or provide project information only if you are at least 18 years old and have reached the age of legal majority where you live. The Site is not directed to children.
If you use the Website Services on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms. In that case, “you” includes both you and that organisation.
The availability of the Site in a country does not mean that every product, configuration, service, delivery method, installation service, warranty, or commercial arrangement is available or lawful there. Product and service availability must be confirmed for the relevant project and destination market.

03
Nature of the Website Services
The Site is primarily a business-to-business product catalogue, project-resource platform, and enquiry channel. It helps visitors explore products, review general information, request resources, submit project briefs, request quotations, and access authorised partner or account areas.
The words “Shop,” “Products,” or similar catalogue labels do not by themselves mean that a product can be purchased through an online checkout. Unless the Site expressly presents a complete checkout process and states otherwise, adding information to an enquiry form, requesting project pricing, sending a purchase order, or communicating with our team does not place an order, reserve stock, or create a binding sales contract.
The Website Services do not provide architectural, engineering, acoustic, electrical, fire-safety, accessibility, building-code, customs, tax, or legal advice. Qualified local professionals and authorities should review requirements that apply to a project or installation.

Accounts and access credentials
Some resources or partner functions may require an account or credentials issued or approved by Movush. You agree to:
• provide accurate, current, and complete account information;
• use the account only for its authorised business purpose;
• keep usernames, passwords, access links, and other credentials secure;
• not share access with an unauthorised person or allow another person to impersonate you;
• notify us promptly at info@movush.com if you suspect unauthorised access; and
• keep your contact information reasonably up to date.
You are responsible for activity carried out through your account to the extent that the activity results from your act or omission. You are not responsible for activity caused by our breach of duty or by circumstances for which the law makes us responsible.
We may require a password reset, restrict an account, or suspend access where reasonably necessary to protect the Site, our users, confidential resources, or legal rights. Where practical and legally required, we will provide notice and an opportunity to address the issue.

Product information and project resources
We aim to present product descriptions, images, dimensions, finishes, configurations, availability, and other information accurately. However:
• images and digital displays may not reproduce colours, textures, scale, or surface details exactly;
• photographs may show optional items, styling, accessories, or environments that are not included;
• specifications, materials, finishes, components, packaging, availability, and product ranges may change;
• downloadable files may be revised or replaced; and
• typographical, translation, technical, or publication errors may occur.
Website content is general information, not a model-specific warranty, certification, compliance statement, or promise that a product is suitable for a particular site or purpose. Before relying on product information, request the current documents for the exact model, configuration, destination market, and intended use. The final approved quotation, technical schedule, finish sample, order confirmation, and signed transaction documents determine the agreed product scope.
You and your project team remain responsible for checking site dimensions, access routes, floor loading, utilities, clearances, local approvals, installation conditions, and other project requirements. This does not reduce any responsibility that Movush has under an applicable sales contract or mandatory law.

Enquiries, quotations, and orders
6.1 Enquiries are not orders
An enquiry, project brief, request for information, request for pricing, or request for a quotation is an invitation to discuss a possible transaction. It does not oblige you to purchase or oblige us to supply.
6.2 Quotations and acceptance
Unless a quotation expressly states otherwise, it is an invitation to place an order and is valid only for the period, products, quantities, configurations, destination, currency, and assumptions stated in it. A purchase order or other acceptance submitted by you is subject to our written confirmation.
A binding product or project contract is formed only when the parties complete the acceptance process stated in the applicable quotation, pro forma invoice, order confirmation, sales agreement, or other transaction document and any required deposit or credit condition has been satisfied.
6.3 Transaction-specific terms
The applicable transaction documents should identify, as relevant:
• the contracting seller and buyer;
• product models, quantities, finishes, options, and approved drawings or samples;
• price, currency, taxes, duties, banking charges, and quotation validity;
• payment milestones and payment method;
• production and delivery assumptions;
• packing, transport, Incoterms, import clearance, and transfer of risk or title;
• site readiness, unloading, assembly, installation, and acceptance responsibilities;
• cancellation, change-order, return, and refund rules;
• warranty scope, exclusions, claim procedure, labour, and freight responsibilities; and
• any market-specific compliance documents or conditions.
These matters are not determined merely by viewing the Site. General information in our Shipping Policy applies to a transaction only where the relevant transaction document incorporates it or applicable law requires it.
6.4 Errors and changes
Before a binding contract is formed, we may correct a genuine error in product information, availability, pricing, freight, tax, or other quotation inputs. If a correction materially changes a pending proposal, you may choose whether to proceed on the corrected basis. After a binding contract is formed, changes may be made only under that contract or applicable law.
6.5 Right to decline a proposed transaction
Before a binding contract is formed, we may decline or condition a proposed transaction for legitimate reasons such as product unavailability, inability to serve the destination, credit risk, suspected fraud, export or sanctions restrictions, legal or safety concerns, or an obvious pricing or specification error. We will not exercise this right in a manner prohibited by applicable anti-discrimination or consumer-protection law.

Intellectual property rights
The Website Services and their content, including text, product information, photographs, graphics, video, audio, downloads, page layouts, software, databases, and design elements (collectively, “Content”), are owned by or licensed to Movush and are protected by applicable intellectual property laws. MOVUSH and the logos, product names, and other source identifiers displayed on the Site (collectively, “Marks”) are owned by or licensed to Movush or their respective owners.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website Services and to download or print Content made available for that purpose. You may use that Content to evaluate, specify, propose, purchase, install, support, or discuss genuine Movush products and projects.
You may share an unmodified product resource with colleagues, professional advisers, clients, or project participants who need it for a genuine project, provided that you preserve all copyright, trademark, revision, and proprietary notices and do not suggest that the material was created or approved by another company.
Except as permitted above, by law, or by our prior written permission, you may not:
• reproduce, republish, sell, sublicense, or commercially exploit a substantial part of the Site or Content;
• alter a document in a way that misrepresents a Movush product, approval, test result, warranty, or specification;
• use Content or Marks for a counterfeit product, misleading comparison, false endorsement, or competing product presentation;
• remove or obscure copyright, trademark, source, revision, or proprietary notices;
• frame the Site or present its Content as part of another service in a misleading manner; or
• copy or adapt Site software, except to the extent that applicable law expressly permits it.
You may link to a public Site page in a fair and lawful way that does not imply an affiliation, approval, or endorsement that does not exist. Standard search-engine indexing that respects our technical instructions is permitted.
No right is granted to use any Mark as a company name, domain name, social-media identifier, product brand, advertising keyword, or source identifier without the relevant owner’s written permission. All rights not expressly granted are reserved.

Information and materials you submit
You may send us contact details, company information, project briefs, quantities, timelines, plans, drawings, images, finish requirements, correspondence, feedback, or other materials (collectively, “Submissions”).
8.1 Your ownership
You retain ownership of your Submissions. By submitting them, you grant Movush and the service providers acting for us a non-exclusive, worldwide, royalty-free licence to receive, host, copy, translate, adapt, analyse, and otherwise use them only as reasonably necessary to:
• respond to your enquiry;
• evaluate, design, quote, manufacture, deliver, install, or support a requested project or order;
• operate and secure the Website Services;
• maintain necessary business and legal records; and
• comply with applicable law.
This licence lasts only for as long as reasonably needed for those purposes, subject to legal retention duties and any separate agreement. We will not use customer plans, project images, names, or testimonials in public marketing merely because they were submitted through the Site; separate permission is required.
8.2 Your responsibilities
You represent that you have the rights and permissions needed to provide the Submissions and allow the uses described above. Your Submissions must be accurate to the best of your knowledge and must not be unlawful, malicious, defamatory, deceptive, infringing, or unnecessarily invasive of another person’s privacy.
Do not send passwords, payment-card data, government identifiers, special-category personal data, trade secrets, export-controlled material, or other highly sensitive information through a general website form or ordinary email unless we have agreed on an appropriate channel and purpose.
Marking a Submission “confidential” does not by itself create a non-disclosure agreement. A separately signed confidentiality or non-disclosure agreement continues to apply according to its terms.
8.3 Feedback
If you voluntarily provide general ideas or feedback about the Site or our services, we may use that feedback without payment or attribution, provided that we do not thereby obtain ownership of your pre-existing intellectual property or override a separate written confidentiality obligation.
Personal information contained in Submissions is handled as described in our Privacy Policy.

Third-party websites and services
The Site may link to social networks, maps, video platforms, analytics services, payment providers, logistics providers, dealers, distributors, installers, or other third parties. A link does not necessarily mean that Movush controls, endorses, or accepts responsibility for the third party or its content, products, security, availability, or privacy practices.
Your use of a third-party website or service is governed by that third party’s terms and privacy notice. Dealings with an independent dealer, distributor, installer, freight provider, payment provider, or other business may also be governed by a separate contract with that business.
Nothing in this section excludes responsibility that applicable law places on Movush for a third party acting as our agent or processor.

Service availability, security, and corrections
We use reasonable measures to operate and protect the Website Services, but no internet service is completely secure, error-free, or continuously available. Access may be interrupted by maintenance, updates, network failures, cyber incidents, third-party services, legal requirements, or events beyond reasonable control.
We may correct typographical errors, broken links, outdated resources, inaccurate catalogue information, or other Site content. A correction to Site content does not retroactively change a binding transaction except as permitted by the applicable transaction document or law.
You are responsible for maintaining appropriate device security, backups, and network access. Please do not rely on the Site as the sole storage location for project files or records.

Changes to the Website Services and these Terms
We may improve, replace, restrict, or discontinue part of the Website Services. Where a change materially affects an account-based service or a legal right, we will provide notice where reasonably practical and legally required.
We may update these Terms to reflect changes in the Website Services, our business, security needs, or applicable law. The updated version will state a new “Last updated” date and will apply prospectively from the date it is posted or from a later effective date stated in the notice.
Where law requires additional notice or consent for a material change, we will provide it. A website update does not change an existing signed sales, distribution, confidentiality, or other agreement unless that agreement permits the change or the parties separately agree to it.

Suspension and termination
You may stop using the Website Services at any time.
We may suspend or terminate access to an account or restricted resource if we reasonably believe that:
• these Terms or applicable law have been materially breached;
• the account or Site faces a security, fraud, or misuse risk;
• access is unauthorised or credentials have been compromised;
• suspension is required by a court, regulator, sanctions rule, or other legal obligation; or
• the relevant Website Service is discontinued.
Where appropriate and legally required, we will provide notice, explain the general reason, and allow a reasonable opportunity to remedy a remediable breach. We may act immediately where delay would create material risk.
Suspension or termination of website access does not by itself cancel a binding product order or remove accrued payment, confidentiality, intellectual property, warranty, record-retention, dispute, or other obligations under a separate agreement.
Sections that by their nature should continue, including intellectual property, Submissions, disclaimers, liability, indemnity, disputes, and general terms, survive termination.

Disclaimers
Nothing in these Terms excludes an express warranty in a binding transaction document or a warranty, guarantee, remedy, or duty that cannot lawfully be excluded.
Subject to that rule, the Website Services are provided on an “as available” basis. To the fullest extent permitted by law, we do not promise that the Site will always be available, secure, complete, current, compatible with every device, or free from defects, harmful components, or third-party interference.

If you are a consumer, we are responsible for loss or damage that is a reasonably foreseeable result of our breach of these Terms or failure to use legally required care. We are not responsible for business losses arising from consumer use. Your mandatory rights under the law of your habitual residence remain unaffected.
17.3 Business users
If you use the Website Services in the course of a business, then, to the fullest extent permitted by law:
• neither party is liable under these Terms for indirect, incidental, special, exemplary, punitive, or consequential loss;
• Movush is not liable under these Terms for loss of profit, revenue, anticipated savings, opportunity, goodwill, business interruption, or data arising solely from use of the free Website Services; and
• Movush’s aggregate liability arising solely from the free Website Services will not exceed the greater of US$100 and the amount you paid specifically for access to those Website Services during the 12 months before the event giving rise to the claim.
The exclusions and cap in this Section 17.3 do not apply to liability listed in Section 17.1.
17.4 Product and project transactions
This Section governs liability arising from use of the Website Services. Liability relating to the manufacture, sale, delivery, installation, or warranty of a product or project is governed by the applicable transaction documents and mandatory law. Nothing in these Terms reduces liability expressly accepted in such a document.
Nothing in these Terms excludes or limits liability for:
• death or personal injury caused by negligence where that liability cannot lawfully be limited;
• fraud or fraudulent misrepresentation;
• wilful misconduct or gross negligence where applicable law prohibits limitation;
• infringement or misuse of intellectual property where limitation is prohibited;
• breach of data-protection or privacy duties to the extent they cannot lawfully be limited;
• mandatory product liability, consumer guarantees, or statutory remedies; or
• any other liability that applicable law does not allow a party to exclude or limit.

Indemnity for business users
If you use the Website Services in the course of a business, you will indemnify Movush and its directors, officers, employees, and agents against a third-party claim, loss, or reasonable cost to the extent directly caused by:
• your unlawful or deliberately harmful use of the Website Services;
• a Submission that infringes the third party’s intellectual property, confidentiality, privacy, or other legal right, where you did not have the required right or permission; or
• your material breach of Section 9.
This obligation does not apply to the extent that a claim was caused by Movush, by a modification we made, or by use we made outside the licence you granted. We will give reasonable notice of a covered claim, allow you a reasonable opportunity to participate in its defence, and not agree to a settlement that imposes an admission or non-monetary obligation on you without your consent, which will not be unreasonably withheld.
This Section does not impose an indemnity on a consumer except to the extent expressly permitted by mandatory law.

Mandatory consumer rights and regional notices
Most Website Services are directed to business and professional users. You are a “consumer” for this Section only if you act wholly or mainly outside your trade, business, craft, or profession.
19.1 European Union, European Economic Area, and United Kingdom
If you are a consumer in the European Union, European Economic Area, or United Kingdom:
• these Terms do not exclude mandatory pre-contract information, fair-contract, conformity, guarantee, cancellation, withdrawal, refund, or remedy rights available under applicable law;
• an unfair or unenforceable term does not bind you, and the remainder of the Terms continues only where legally permitted;
• any ambiguity will be interpreted as required by applicable consumer law; and
• you may bring or defend proceedings in the courts available to you under mandatory local law.
Submitting a website enquiry does not itself conclude a product purchase or begin a consumer withdrawal period. If we later conclude a distance or off-premises contract with you as a consumer, we will provide the legally required transaction information and any applicable cancellation or withdrawal instructions before you are bound. Statutory exceptions may apply, including to certain goods made to the consumer’s specifications or clearly personalised.
19.2 United States
If you are in the United States, applicable federal and state consumer-protection rights remain unaffected. No disclaimer, liability limit, governing-law provision, or electronic-communications clause applies where the relevant law prohibits it.
19.3 California notice
California users may direct complaints to Movush using the contact details in Section 23. If a complaint is not satisfactorily resolved, California users may contact the California Department of Consumer Affairs, Consumer Information Center, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, United States, or call (800) 952-5210. This is a government contact, not a Movush office.

Governing law and dispute resolution
Please first contact us at info@movush.com with a clear description of the issue and the outcome requested. The parties will try in good faith to resolve the dispute through direct discussion for 30 days. This informal period does not prevent either party from seeking urgent relief, preserving a limitation period, or exercising a right that cannot be delayed by contract.
These Terms and non-contractual disputes arising from the Website Services are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.
For a business user, disputes that are not resolved informally will be submitted to a competent People’s Court at the domicile of Foshan Movush Furniture Co.,Ltd, unless the parties agree otherwise in writing or mandatory law requires another forum.
For a consumer, the governing-law and forum provisions above do not deprive you of mandatory protections of the law of your habitual residence or of access to a court that mandatory law makes available to you.
A quotation, sales agreement, distribution agreement, or other transaction document may select a different governing law, court, or arbitration process for that transaction. That selection controls the transaction but does not change these Website Terms unless it expressly says so.

Electronic communications
When you visit the Site, submit a form, use an account, or email us, you communicate electronically. You agree that we may respond and provide routine notices electronically at the contact details you provide, subject to applicable law and our Privacy Policy.
An electronic record or signature will not be denied effect solely because it is electronic where applicable law recognises it. However, these Terms do not require any person to accept an electronic signature or electronic record where the law or an applicable transaction document requires additional consent, disclosure, authentication, delivery, retention, or a paper form.
You are responsible for keeping a usable email address and for retaining transaction documents that you may need. Contact us if applicable law gives you a right to request a non-electronic copy of a required record.

General terms
22.1 Entire agreement for website use
These Terms, together with policies expressly incorporated into them, are the entire agreement concerning use of the Website Services. They do not replace a signed sales, distribution, confidentiality, warranty, or other separate agreement.
22.2 Order of precedence
If documents conflict, a signed or expressly accepted transaction document controls the transaction; the Privacy Policy controls personal-data handling; and these Terms control general use of the Website Services, unless mandatory law requires otherwise.
22.3 Severability
If a provision is unlawful, invalid, or unenforceable, it will be limited or removed only to the minimum extent required. The remaining provisions continue where legally possible. For consumers, this applies subject to mandatory rules concerning unfair terms and the continuing validity of the contract.
22.4 No waiver
A delay or failure to enforce a right is not a waiver. A waiver is effective only for the specific circumstance for which it is given.
22.5 Assignment
You may not transfer an account or your rights under these Terms without our written consent, except where applicable law allows it. We may transfer these Terms as part of a genuine corporate reorganisation, financing, merger, acquisition, or transfer of the relevant business, provided that the transfer does not unlawfully reduce a consumer’s rights. We will provide notice or obtain consent where required by law.
22.6 Events beyond reasonable control
To the extent permitted by law, neither party is responsible under these Terms for delay or failure caused by an event beyond its reasonable control. This clause does not excuse payment already due or alter transaction-specific force-majeure terms.
22.7 Relationship
These Terms do not create a partnership, franchise, employment, fiduciary, agency, or joint-venture relationship between you and Movush. An independent dealer, distributor, installer, or service provider may bind Movush only if separately authorised in writing.
22.8 Third-party rights
Unless these Terms expressly state otherwise, a person who is not a party to them has no right to enforce them, except where mandatory law provides otherwise.
22.9 Language
The English version is the controlling version for business users unless a signed agreement states otherwise. A translation may be provided for convenience. For consumers, any mandatory local-language or interpretation rule continues to apply.
22.10 Headings
Headings and the contents list are for convenience and do not change the meaning of these Terms.
